1. Introduction

Welcome to Campeus. These Terms and Conditions ("Terms") govern your access to and use of the Campeus platform, including our website, applications, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

Campeus Inc. ("Campeus," "we," "us," or "our") provides an event management and recruitment intelligence platform designed for higher education institutions.

2. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization (such as a university, college, or other institution), you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

3. Account Registration and Security

To access certain features of the Service, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that contain inaccurate or incomplete information.

• Attempt to gain unauthorized access to any portion of the Service
• Use the Service to transmit harmful code, spam, or malicious content

• Impersonate any person or entity or misrepresent your affiliation

5. Subscription and Payment

Access to certain features of the Service requires a paid subscription. By subscribing to the Service:

• You agree to pay all fees associated with your selected subscription plan
• Subscription fees are billed in advance on a monthly or annual basis
• Refunds are provided on a prorated basis as described in our Refund Policy
• We reserve the right to modify pricing with 30 days' notice
• Failure to pay may result in suspension or termination of your account

You authorize us to charge your designated payment method for all fees incurred. You are responsible for providing accurate billing information and keeping it current.

6. Data and Privacy

The Campeus name, logo, and all related names, logos, and slogans are trademarks of Campeus Inc. You may not use these marks without our prior written permission.

The Service may integrate with third-party services (such as CRM systems, calendars, and analytics platforms). Your use of such third-party services is subject to their respective terms and privacy policies.

We are not responsible for the availability, accuracy, or content of third-party services, and we do not endorse any third-party products or services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. You use the Service at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAMPEUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Campeus and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Term and Termination

These Terms remain in effect while you use the Service. You may terminate your account at any time by contacting us or using the account cancellation feature in the Service.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Service will immediately cease
• We may delete Your Data after a reasonable retention period
• You remain responsible for any outstanding fees
• Provisions that by their nature should survive will remain in effect

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the modified Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Any dispute arising from these Terms shall be resolved through binding arbitration in Ottawa, Ontario, except that either party may seek injunctive relief in any court of competent jurisdiction.

• Entire Agreement: These Terms constitute the entire agreement between you and Campeus regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver.
• Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: We shall not be liable for any failure to perform due to circumstances beyond our reasonable control.
